1. Introduction

1.1. These Terms of Use set out the rules and conditions governing the use of the website https://borusanpipe.com/ (the “Site”) that you are accessing, and regulate accordingly the rights and obligations of the Parties.

1.2. Access to and use of the Site, and all transactions carried out by Users through the Site, are subject to these Terms of Use.

1.3. By accepting these Terms of Use, you represent that you possess all legal permissions and qualifications required to use the Site and to accept these Terms of Use, and that, if you will use the Site on behalf of a company you are authorized to represent, you hold full authority to represent that company and to act on its behalf.

1.4. Borusan Birleşik Boru Fabrikaları Sanayi ve Ticaret A.Ş. (“Borusan Boru” or the “Company”) reserves the right to change, update and renew the entire content of these Terms of Use at any time, without any prior notice. It is the Users’ responsibility to follow the updates made to the Site. The current Terms of Use will become effective as soon as they are published on the Site, and use of the Site from that point onward will be subject to the then-current Terms of Use. Therefore, please check the “Terms of Use” page regularly.

1.5. The Company may, at any time, change, upgrade or release a new version of the Site or of any part of its features or functions. Unless otherwise expressly and separately stated by the Company, any new version of the Site will be subject to these Terms of Use.

1.6. If you do not accept these Terms of Use, please do not use the Site. Please read the Terms of Use carefully before you start using the Site.

1.7. If you breach these Terms of Use, the Company may terminate your use of the Site and/or, in the event of any unlawful conduct, pursue legal action or other legal proceedings against you.

2. General Terms

2.1. The Company shall not be held liable for any error, system slowdown, inability to use the Site or similar issues arising from the devices and/or internet connections of Users using the Site. The User accepts that access to the Site may be temporarily restricted in order to carry out improvements and other changes to the Site.

2.2. In no event shall the Company or its affiliated companies, subsidiaries, directors, representatives, employees or other agents be liable for any direct, indirect, special, incidental, consequential, punitive and/or exemplary damages whatsoever – including but not limited to loss of profit or revenue, loss of data and/or loss of business – arising out of or in connection with the use or inability to use this Site, or reliance on the content of this Site, even if the Company had been advised of the possibility of such damages.

2.3. The Company reserves the right to remove or modify the content on the Site at any time and without stating any reason.

2.4. The Company may restrict the use of the Site by any natural or legal person(s) who engage in conduct that breaches the obligations set out in these Terms of Use or the general rules announced on the Site (such as using software that threatens the general security of the Site, using software that would prevent the Site or the software used from functioning, or carrying out, attempting to carry out, obtaining, deleting or altering information), without prejudice to the Company’s legal rights against such person(s).

2.5. It is prohibited to use the Site or the content on the Site for any unlawful purpose, to access any part of it using an automated mechanism such as a robot or a worm, or to copy or monitor it for commercial or non-commercial purposes.

2.6. This Site may contain links to third-party applications/websites; however, the Company is not responsible for any content of such applications/websites. You may need to review and accept the applicable terms of use when using such applications/websites. Furthermore, a link to any third-party application/website does not mean that the Company endorses that application/site or the products or services referred to on it.

3. Terms of Use

3.1. In all transactions it carries out on the Site, the User accepts, represents and undertakes that it will comply with these Terms of Use and any other provisions that may be published on the Site from time to time, with the law, with morality and good manners, and with the principles of good faith, and that it will not engage in conduct that could hinder the operation of the Site by any means, nor in acts that infringe, or risk infringing, the rights of third parties.

3.2. Users may view the content on the Site solely for personal use, and may use it only to obtain information about such content and in accordance with the Terms of Use published herein. Any access or use beyond this is unlawful, and the Company and other content owners reserve their legal rights.

3.3. Users accept and undertake that they are solely responsible for their use of the content on the Site, or for the consequences of any decisions they make based on such content, and that no liability may be attributed to the Company or to other third-party content owners.

3.4. If there is any provision of these Terms of Use that you do not accept, or if you are not authorized to approve or accept these Terms of Use, you may not use the Site. You further represent that you are of legal age, that you are capable of entering into binding agreements under applicable law, and that you are competent to assume responsibility for, be bound by and comply with each and every condition, obligation, confirmation, power of attorney and warranty set out in these Terms of Use, and to be assessed within the framework of these Terms of Use.

THE COMPANY PROVIDES NO WARRANTY OR CONDITION OF ANY KIND IN CONNECTION WITH THESE TERMS OF USE, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OR CONDITIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE COMPANY GIVES NO WARRANTY THAT THE SITE WILL BE ERROR-FREE OR UNINTERRUPTED (INCLUDING ANY INTERRUPTION DUE TO CYBER-ATTACKS OR MALICIOUS CODE OR SOFTWARE), OR THAT IT WILL BE COMPATIBLE WITH ANY SOFTWARE. THE COMPANY DISCLAIMS ALL LIABILITY FOR ANY DAMAGE ARISING FROM YOUR ACCESS TO OR USE OF THE SITE. 4. Intellectual Property Rights

4.1. All registered or unregistered intellectual property rights on this Site – including titles, business names, trademarks, patents, logos, designs, information and methods – belong to the Company as the operator and owner of the Site, and are protected under national and international law. Downloading or using this Site does not confer any rights whatsoever with respect to such intellectual property rights.

4.2. The information on the Site may not, in any way, be reproduced, published, copied, presented and/or transmitted. The Site, in whole or in part, may not be used on any other website/application/medium without authorization or in violation of the rules set out herein.

4.3. It is prohibited to use the design, source code, interface, content or database of the Site – whether as is, modified or altered – in whole or in part.

6. Miscellaneous

6.1. The Istanbul (Çağlayan) Courts and Enforcement Offices shall have jurisdiction over any disputes arising from the implementation of these Terms of Use.
